Terms and Conditions

Web shop hdcon.dk offers consultancy services and digital products to commercial buyers with a 12-month warranty. 

These terms and conditions apply to all commercial purchases made through the web shop hdcon.dk owned by HD Consulting. The web shop offers consultancy services and digital products that will be delivered online via direct download or registered email. The buyer acknowledges that the products and services are subject to a 12-month warranty with no right of withdrawal. All prices are exclusive of VAT and other taxes, and the seller may change prices due to currency fluctuations, force majeure, and tax changes. The web shop does not support consumer purchases. Payment is made using online payment methods, and registered business customers can receive an invoice for payment. The terms and conditions are governed by Danish law and subject to the jurisdiction of Danish courts. HD Consulting reserves the right to amend these terms and conditions. 

Products and Service

The web shop offers consultancy services and digital products, including advisory services, writing services, documents, and templates. The buyer agrees to purchase these services and products in accordance with the terms and conditions outlined in this agreement. Agreements entered via the web shop support the following languages: Danish and English.

On the website the buyer can view details about the consultancy services and digital products offered. Information on technical data and specifications is for guidance only. The buyer is responsible for the selection of the services and products and for achieving the desired result with the purchase.

All prices on the web shop are in Danish kroner, exclusive of VAT and other taxes. Prices are daily rates and are only valid within Denmark’s borders, excluding the Faroe Islands and Greenland. The seller reserves the right to change prices in the event of currency fluctuations, force majeure, and tax changes.

 

Commercial Purchases

The buyer is the company or business that has made a purchase or placed an order via the web shop. Buyers are referred to as commercial purchases and follow the Danish Sale of Goods Act. An order is considered a commercial purchase when a CVR number is provided as part of the order. There is a presumption that an order is to be regarded as a commercial purchase, and therefore not considered a consumer purchase if there is a company name in the billing address or the address is a company address. The web shop does not support consumer purchases.

When placing an order on the web shop, the buyer provides an email address that is used for the primary communication between the buyer and seller during the delivery of the order, including the conclusion of a legally binding agreement between the buyer and seller.

The seller acknowledges receipt of the buyer’s order. The acknowledgment is not a legally binding agreement between the buyer and seller. The seller may cancel the order in whole or in part, for example, due to pricing and/or text errors, or unavailable services.

A legally binding agreement between the buyer and seller is concluded when the buyer receives an order confirmation. In the event of discontinued services or postponed delivery times, the buyer is informed accordingly.

 

Payment and Invoicing

HD Consulting accepts multiple online payment methods as listed in the webs shop. Any applicable fees will be disclosed at the time of checkout when a payment method and/or specific card number is provided. Registered business customers subject to a special agreement with HD Consulting may make purchases on the website and receive an invoice for payment. Delivery

Consultancy services and digital products will be delivered through online channels, either via direct download from the website or through the customer’s registered email address.

 

Warranty

The agreement includes a 12-month warranty for all products and services purchased through the web shop. There is no right of withdrawal. The web shop cannot be held responsible for compatibility issues resulting from changes in the configuration of composite components from the web shop or third-party components.

HD Consulting warrants that the consultancy services and digital products provided will be free from material defects and will conform to the specifications stated on the website. In the event of any material defect or non-conformity, the customer shall promptly notify HD Consulting in writing and provide all necessary details regarding the defect or non-conformity. If HD Consulting determines that the consultancy services or digital products are defective or do not conform to the specifications, HD Consulting shall, at its sole discretion, either replace the defective or non-conforming services or products or refund the purchase price.

The warranty provided in this section shall not apply to any defects or non-conformities caused by (i) the customer’s misuse or modification of the services or products, (ii) the use of the services or products in combination with other products or services not provided by HD Consulting, or (iii) the customer’s failure to follow HD Consulting’s instructions or recommendations.

Liability

HD Consulting’s total liability to the customer arising from or in connection with the provision of consultancy services or digital products shall be limited to the purchase price paid by the customer. HD Consulting shall not be liable for any indirect, incidental, special, or consequential damages arising from or in connection with the provision of consultancy services or digital products, including but not limited to lost profits, lost data, or business interruption. The limitations of liability set forth in this section shall not apply to any liability arising from HD Consulting’s gross negligence or willful misconduct.

 

Right of Withdrawal

There is no right of withdrawal for products and services purchased through the web shop.

 

Confidentiality

HD Consulting agrees to maintain the confidentiality of all confidential information disclosed by the customer to HD Consulting in connection with the provision of consultancy services. HD Consulting shall not disclose such confidential information to any third party without the prior written consent of the customer, except as required by law or court order. The obligations of confidentiality set forth in this section shall survive the termination or expiration of this agreement.

 

Intellectual Property Rights

The buyer acknowledges that all intellectual property rights in and to the consultancy services and digital products provided by HD Consulting, including but not limited to copyrights, trademarks, and patents, are owned by HD Consulting or its licensors. The customer shall not use or reproduce any of HD Consulting’s intellectual property without HD Consulting’s prior written consent.

All rights to digital products belong to the seller. When purchasing, a license to use the purchased digital product is obtained. The buyer’s license is personal, and it is not allowed to sell, forward, lend, give away or otherwise distribute the product, either privately or commercially. This applies to the content of the web shop’s digital products.

 

Governing Law and Jurisdiction

These terms and conditions shall be governed by and construed in accordance with the laws of Denmark. Any disputes arising under or in connection with this agreement shall be resolved by the Danish courts.

 

Amendments

HD Consulting reserves the right to amend these terms and conditions at any time. Any amendments will be effective from the time they are published on the web shop. The customer’s continued use of the consultancy services or digital products following any such amendment shall constitute the customer’s acceptance of the amended terms and conditions. If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These terms and conditions constitute the entire agreement between HD Consulting and the buyer and supersede all prior negotiations, understandings, and agreements between the parties.

Effective from January 1st, 2023, these terms and conditions apply to all commercial purchases made through the web shop hdcon.dk and replace any previous terms and conditions. The web shop is owned and operated by the seller HD Consulting with CVR no. 40903852, located at Erritsøgårdsvej 63, 7000 Fredericia, Denmark. By placing an order on the web shop, the buyer agrees to the following terms and conditions:
